ตลท.สั่ง TRITN เปิดรายงาน IFA 'The Haven' เพิ่มThe Securities and Exchange Commission of Thailand (SET) ordered TRITN to submit an additional independent financial advisor (IFA) report on the investment in 'The Haven' leisure and recreation project. The report must be disclosed to shareholders in advance through the SET system, giving them sufficient time to review it. This follows TRITN's board meeting approval to transfer all assets from Baan Rai Techatubon Holding Co., Ltd., gaining ownership of 732-2-90.7 rai of land and paying 1,400 million baht in shares to Baan Rai Techatubon Holding Co., Ltd. shareholders, representing 49.18% of the paid-up capital after the share issuance. TRITN will develop 'The Haven' project, valued at no more than 2,290 million baht. The transaction is a related party transaction and meets the criteria for asset acquisition at 99.73%. The extraordinary shareholder meeting for approval is scheduled for January 9, 2025. Following scrutiny by the SET and the Securities and Exchange Commission (SEC), TRITN was asked to provide additional information. The SET considered TRITN's explanations, the extraordinary shareholder meeting documents, and the IFA report released on December 25, 2023, finding insufficient clarity for shareholder evaluation. The transaction may constitute a Backdoor Listing, requiring an application to the SET for approval of TRITN's continued suitability as a listed company after the asset transfer. This could impact shareholder rights and investment decisions. To safeguard investor interests, the SET Board, exercising its authority under Section 172 (1) of the Securities and Exchange Act, ordered TRITN to take the following actions.
